1. Agreement to Terms

By accessing or using API Sign ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users who access the Service via our API.

2. Description of Service

API Sign provides an electronic signature platform that enables users to:

Create and manage document templates
Generate contracts from templates with dynamic variables
Collect legally binding electronic signatures
Track document status and receive notifications via webhooks
Access the Service programmatically via our API

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and API keys
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

4. Pricing and Payment

API Sign operates on a pay-as-you-go pricing model:

Each contract sent costs $0.25 USD
You must maintain a positive account balance to send contracts
Account balances are non-refundable except as required by law
We reserve the right to modify pricing with 30 days notice

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for services rendered.

5. Electronic Signatures

Our Service facilitates the collection of electronic signatures in compliance with applicable electronic signature laws, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).

You acknowledge that:

Electronic signatures collected through our Service are legally binding
You are responsible for ensuring signers consent to electronic signatures
Some documents may not be suitable for electronic signatures under applicable law
You are responsible for compliance with laws applicable to your specific use case

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Send fraudulent, deceptive, or misleading documents
Collect signatures without proper consent
Transmit malware, viruses, or other malicious code
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service or servers
Use the Service for any illegal purpose

7. API Usage

If you access the Service via our API, you additionally agree to:

Keep your API keys confidential and secure
Not share API keys or allow unauthorized access
Use the API in accordance with our documentation
Not attempt to circumvent any rate limits or restrictions
Immediately revoke and regenerate compromised API keys

8. Intellectual Property

The Service and its original content, features, and functionality are owned by API Sign and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of all content you upload to the Service, including templates and documents. By using the Service, you grant us a limited license to process and store your content as necessary to provide the Service.

9. Data Retention

We retain your documents and signature records for the duration of your account plus a reasonable period thereafter. You may request deletion of your data in accordance with our Privacy Policy.

We maintain audit logs of signature events to ensure the legal validity of signed documents. These logs may be retained for an extended period as required for legal compliance.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, API SIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless API Sign and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. You may export your data prior to termination in accordance with our data export features.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
