# NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into by and between:

## 1. PURPOSE
The parties wish to explore a potential business relationship concerning {{business_purpose}}. In connection with this opportunity, each party may disclose certain confidential and proprietary information to the other party.
## 2. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any data or information that is proprietary to the Disclosing Party and not generally known to the public, including but not limited to:
- Trade secrets, inventions, and ideas
- Business plans and strategies
- Financial information and projections
- Customer and supplier lists
- Technical data and specifications
- Marketing and sales information
- Personnel information
## 3. OBLIGATIONS OF RECEIVING PARTY
The Receiving Party agrees to:
- Hold and maintain the Confidential Information in strict confidence
- Not disclose Confidential Information to any third parties without prior written consent
- Use the Confidential Information solely for the purpose described in this Agreement
- Protect the Confidential Information using the same degree of care used to protect its own confidential information, but in no event less than reasonable care
## 4. EXCLUSIONS
This Agreement does not apply to information that:
- Was publicly known at the time of disclosure
- Becomes publicly known through no fault of the Receiving Party
- Was rightfully in the Receiving Party's possession prior to disclosure
- Is independently developed by the Receiving Party without use of Confidential Information
- Is rightfully obtained from a third party without restriction
## 5. TERM
This Agreement shall remain in effect for a period of {{term_years}} years from the Effective Date. The obligations of confidentiality shall survive termination of this Agreement.
## 6. RETURN OF INFORMATION
Upon termination of this Agreement or upon request by the Disclosing Party, the Receiving Party shall promptly return or destroy all Confidential Information and any copies thereof.
## 7. NO LICENSE
Nothing in this Agreement grants any rights to the Receiving Party in the Confidential Information except as expressly set forth herein.
## 8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of {{governing_state}}.
## 9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.
